Terms and Conditions

These Terms and Conditions (“Terms”) form a legally binding agreement between Rocklink Web Services (“we”, “us”, or “our”) and any individual, business, or organization (“Customer”, “you”, or “your”) accessing or using Rockify ERP, RockifyCloud, and related services (collectively, the “Platform”).
By accessing, subscribing to, deploying, or using the Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must immediately discontinue use of the Platform.
1. About the Platform
Rockify ERP is a cloud-based and self-hosted enterprise business management platform designed to assist businesses in managing accounting, inventory, sales, purchasing, projects, customer relationships, human resources, operations, and other business functions.
RockifyCloud provides related infrastructure, cloud hosting, VPS services, managed deployments, business email services, and associated hosting solutions.
Both Rockify ERP and RockifyCloud are products and services owned and operated by Rocklink Web Services.
Rockify ERP is built upon and extends open-source technologies including ERPNext and the Frappe Framework, distributed under applicable open-source licenses including the GNU General Public License v3 (GPLv3).
Ownership of original open-source components remains with their respective copyright holders and contributors.
Rocklink Web Services retains ownership of all proprietary branding, customizations, deployment systems, integrations, support infrastructure, designs, configurations, and custom-developed modules.
2. Eligibility
You must be at least eighteen (18) years old and legally capable of entering binding agreements to use the Platform.
If you use the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Accounts and Security
You agree to:
- Provide accurate and complete account information.
- Maintain the confidentiality of your credentials.
- Restrict unauthorized access to your systems and devices.
- Accept responsibility for all activity occurring under your account.
You must immediately notify us of any suspected unauthorized access or security incident through: support@rockifyerp.com
Rocklink Web Services shall not be liable for losses resulting from compromised passwords, customer negligence, insecure devices, or unauthorized use caused by the customer.
4. License Grant and Restrictions
4.1 License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations.
4.2 Restrictions
You may not:
- Resell or redistribute the Platform without written authorization.
- Use the Platform for unlawful purposes.
- Attempt unauthorized access to systems or infrastructure.
- Distribute malware, spam, phishing content, or harmful material.
- Reverse engineer proprietary components outside applicable open-source rights.
- Remove or alter proprietary notices or branding unlawfully.
5. Fees, Billing and Payments
Certain features and services require paid subscriptions or hosting plans.
You agree to pay all applicable fees associated with your selected services.
Unless otherwise agreed in writing:
- Payments are non-refundable.
- Partially used billing periods are not refundable.
- Deployment, setup, migration, and customization fees are non-refundable.
We reserve the right to adjust pricing with at least thirty (30) days prior notice before changes take effect on future renewals.
Failure to make payment may result in:
- Service suspension
- Restricted access
- Account termination
- Permanent deletion of hosted data after retention periods expire
6. Customer Data and Backups
Customers retain ownership of business data entered into their ERP environments.
Customers are solely responsible for:
- The legality and accuracy of uploaded information
- Regulatory and tax compliance
- Maintaining independent backups where necessary
- Managing internal user permissions and access controls
While Rocklink Web Services may perform routine backups for certain managed services, backups are not guaranteed unless explicitly stated in a separate written Service Level Agreement (SLA).
Rocklink Web Services shall not be liable for:
- Data loss
- Corruption
- Accidental deletion
- Failed restorations
- Third-party infrastructure failures
- Customer misconfiguration
Upon account termination, customers may request export of their data in a reasonably available format for up to thirty (30) days after closure, after which data may be permanently deleted.
7. Service Availability
We aim to provide commercially reasonable uptime and service reliability. However, uninterrupted or error-free operation cannot be guaranteed.
Services may be affected by:
- Scheduled maintenance
- Infrastructure failures
- Internet disruptions
- Cybersecurity incidents
- Third-party provider outages
- Force majeure events
8. Third-Party Services
The Platform may integrate with or rely upon third-party providers including:
- Cloud infrastructure providers
- Domain registrars
- Email service providers
- Payment gateways
- Analytics providers
- Security services
Rocklink Web Services is not responsible for disruptions, losses, or failures caused by third-party services or infrastructure providers.
9. Intellectual Property
All trademarks, logos, branding, proprietary interfaces, deployment systems, documentation, custom modules, and designs developed by Rocklink Web Services remain our intellectual property unless otherwise agreed in writing.
Nothing in these Terms transfers ownership rights to you.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”.
To the maximum extent permitted by law, Rocklink Web Services disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, or uninterrupted operation.
We do not guarantee that the Platform will always be secure, uninterrupted, error-free, or free from vulnerabilities.
11. Limitation of Liability
To the maximum extent permitted by law, Rocklink Web Services and its officers, employees, affiliates, contractors, and partners shall not be liable for:
- Indirect damages
- Loss of profits
- Business interruption
- Loss of data
- Loss of goodwill
- Consequential or incidental damages
Our total aggregate liability arising from any claim related to the Platform shall not exceed the total amount paid by the customer during the twelve (12) months preceding the event giving rise to the claim, or USD 100 where no fees have been paid.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
12. Suspension and Termination
We reserve the right to suspend or terminate services where:
- These Terms are violated
- Payment obligations are not met
- Illegal activity is suspected
- Security threats or abuse are detected
- Operational or commercial discontinuation becomes necessary
Where commercially reasonable, we may provide prior notice before termination.
13. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Kenya.
Any disputes arising from these Terms or the Platform shall fall under the exclusive jurisdiction of the courts of Nairobi, Kenya.
14. Changes to These Terms
We may update these Terms periodically.
Updated versions become effective upon publication on the Platform. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
